Ias9i install problem w/win2000

I am trying to install Ias9i on Win2000 Server with no luck. The install appears to go fine and says install complete. However the product is not installed! During the install session it appears to copy msvcrt40.dll then immediately "cleanup.bat". The whole process takes less than a minute. The windows event viewer reports a file protection error on an attempt to replace msvcrt40.dll. The oracle techs are stumped. Anyone else have a suggestion?
