It depends :) What it depends on in this case if this is the ONLY domain controller for the win2003 domain (it sounds like it could be). If so there isn't an easy answer because you can't remove the last dc from the domain straightforwardly (you'd lose the domain).

I'd really hesitate to give any more advice without knowing what the network looked like, or you might consider getting a consultant in for a day or so to look at your options.
