Your statement that "Listener is started at both server and client sides." leads me to believe that you are more confused than you think ;-)

There is no listener on the client side. Well, there may be, but it is not an issue. Show us the actual contents of the tnsnames.ora and sqlnet.ora files on your client, and listener.ora and sqlnet.ora on the server. Also, the output of 'lsnrctl status' on the server.

im trying to connect only to a particular database remotely as a client with orcl 9.2.0.4 WITH WIN 2K  

Listener is started at both server and client sides. tnsnames.ora is edit occardingly.
host_id abc
Service_name: XYZ
Steps followed:  

CONFIGURED LISTENER WITH FOLLOWING STEPSFrom client:
* Oracle Net configuration.

TNSPING pidb
TNS-12541 NO LISTENER   thanks in advance
