copying datafile nt4-w2k

hi all

We are planning an upgrade from NT4 to W2K. I am considering to create a new instance on another server with W2K installed and copying the datafiles
from the server with NT4 on it.
Is this possible ? Or do i have to use the exp/imp strategy ?
